Induction Terms of Service
Last updated: October 7, 2026
1. Agreement
These Terms of Service ("Terms") govern your access to and use of the Induction website, dashboard, API, and related services (together, the "Service"), provided by Induction AI, Inc., a Delaware corporation ("Induction", "we", "us", or "our").
By creating an account, generating an API key, or using the Service, you agree to these Terms. If you use the Service on behalf of an organization, you represent that you are authorized to bind that organization, and "you" refers to that organization.
If you have a separate signed agreement with us, that agreement controls where it conflicts with these Terms.
2. Eligibility and business use
The Service is intended for businesses and developers. You must be at least 18 years old, or the age of majority where you live if that is higher, to use it. You may not use the Service if you are barred from doing so under applicable law, including export control and sanctions laws.
3. The Service
3.1 What the Service does. The Service sits between your application and third-party large language model providers ("Model Providers"). It receives your requests, may process or modify them, forwards them to Model Providers, and returns their responses to you.
3.2 Model Providers. Model Providers are independent third parties. Their models, availability, outputs, and data practices are outside our control. Your use of a Model Provider's models through the Service may also be subject to that provider's terms and usage policies, as published by that provider.
3.3 Changes to the Service. We may add, change, or remove features, supported models, or Model Providers at any time.
4. Accounts and API keys
4.1 You must provide accurate account information and keep it up to date.
4.2 You are responsible for keeping your credentials and API keys secret, and for all activity under your account and keys, whether or not you authorized it.
4.3 Notify us promptly at security@induction.ai if you believe your account or API keys have been compromised.
5. Your content
5.1 Definitions. "Input" means the content you or your end users submit to the Service, including prompts, messages, files, tool definitions, and tool results. "Output" means the content returned to you through the Service. Input and Output together are "Customer Content".
5.2 Ownership. As between you and us, you retain all rights in your Customer Content. We do not claim ownership of Input or Output.
5.3 Our permission to use it. You grant us a worldwide, non-exclusive, royalty-free license to host, copy, process, transmit, modify, and store Customer Content only as needed to provide, secure, and support the Service, to comply with law, and as described in our Privacy Policy.
5.4 Training. We do not use Customer Content to train or fine-tune any AI model.
5.5 Retention and privacy. How long we retain Customer Content is described in our Data Retention Policy, and how we handle personal data is described in our Privacy Policy. Both form part of these Terms.
5.6 Your responsibilities. You are responsible for your Customer Content and for having all rights, consents, and notices needed to submit it to the Service and to have it processed by Model Providers. Do not submit data that is subject to special legal protection (for example, health data regulated under HIPAA, or payment card data) unless we have agreed in writing to handle it.
6. Acceptable use
You may not, and may not allow others to:
- use the Service in violation of any law or of a Model Provider's usage policies;
- generate or distribute content that is illegal, sexually exploits minors, or infringes others' rights;
- attempt to gain unauthorized access to the Service, other accounts, or our systems;
- interfere with or disrupt the Service, including by exceeding rate limits or circumventing usage controls;
- reverse engineer the Service, except where that restriction is prohibited by law;
- resell or sublicense access to the Service without our written permission;
- use the Service or its Output to build a competing product;
- misrepresent that Output was human-generated where that would be misleading.
We may investigate suspected violations and may suspend or limit access as described in section 9.
7. Fees and payment
7.1 Who you pay. You will pay the applicable fees to us or, if you access the Service through a reseller, to that reseller under its terms.
7.2 Model Provider charges. If you use the Service with your own Model Provider API key, the Model Provider charges you under your own account for every request sent with your key, including requests the Service modifies and additional model calls it makes while handling your requests. These charges are separate from our fees.
7.3 Our fees. Our fees are based on your usage of the Service, as described on our pricing page. Depending on the option you choose, we bill them monthly in arrears to your payment method on file, or deduct them from prepaid credits you purchase in advance.
7.4 Prepaid credits. Prepaid credits expire 12 months after purchase.
7.5 Refunds. Fees and prepaid credits are non-refundable except as required by law.
7.6 Taxes. Fees are exclusive of taxes. You are responsible for all applicable taxes other than taxes on our income.
7.7 Changes to fees. We may change our fees with at least 30 days' notice. Changes apply from your next billing period.
7.8 Late payment. If payment is overdue, we may suspend the Service after notice.
8. Confidentiality and security
8.1 Confidential Information. "Confidential Information" means non-public business, technical, or financial information that one party (the "Discloser") discloses to the other (the "Recipient") under these Terms and that is identified as confidential or should reasonably be understood to be confidential. Your Confidential Information includes Customer Content. Our Confidential Information includes non-public information about the Service and your fees.
8.2 Obligations. The Recipient will:
- use the Discloser's Confidential Information only to exercise its rights and perform its obligations under these Terms;
- protect it with at least reasonable care; and
- not disclose it to anyone except its employees, contractors, and service providers, including Model Providers, who need it for those purposes and are bound by appropriate confidentiality or data protection obligations. The Recipient is responsible for their compliance with this section.
8.3 Exclusions. These obligations do not apply to information that the Recipient can show: (a) is or becomes public through no fault of the Recipient; (b) it rightfully knew before receiving it under these Terms; (c) it rightfully received from a third party without a duty of confidentiality; or (d) it developed independently without using the Discloser's Confidential Information.
8.4 Required disclosure. The Recipient may disclose Confidential Information when required by law, subpoena, or court order, if it gives the Discloser advance notice where legally permitted and reasonably cooperates with any effort to obtain confidential treatment.
8.5 Remedies. Unauthorized use or disclosure of Confidential Information may cause harm that money damages cannot adequately remedy, so the Discloser may seek injunctive or other equitable relief in addition to other remedies.
8.6 Security. We use reasonable technical and organizational measures to protect Customer Content. No method of transmission or storage is completely secure, and we cannot guarantee absolute security.
9. Suspension and termination
9.1 You may stop using the Service and close your account at any time from the dashboard.
9.2 We may suspend or terminate your access, with notice where practicable, if you breach these Terms, fail to pay, create a security or legal risk, or if required by law or by a Model Provider.
9.3 On termination, your right to use the Service ends. Customer Content will be deleted as described in our Data Retention Policy. Sections 5.2, 5.6, 7 (for amounts owed), 8, 10, 11, 12, and 14 survive termination.
10. Disclaimers
THE SERVICE AND ALL OUTPUT ARE PROVIDED "AS IS" AND "AS AVAILABLE". TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
Output is generated by machine learning models and may be inaccurate, incomplete, or offensive. You are responsible for evaluating Output before relying on it. We do not guarantee any particular uptime, latency, cost saving, or output quality.
11. Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW:
(a) WE WILL NOT BE LIABLE TO YOU FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, OR DATA, EVEN IF ADVISED OF THEIR POSSIBILITY; AND
(b) OUR TOTAL LIABILITY TO YOU ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF THE FEES YOU PAID TO US IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM AND US$100.
SOME JURISDICTIONS DO NOT ALLOW THE DISCLAIMER OF CERTAIN WARRANTIES OR THE LIMITATION OF CERTAIN DAMAGES, SO SOME OR ALL OF SECTIONS 10 AND 11 MAY NOT APPLY TO YOU.
12. Indemnification
You will defend and indemnify us against third-party claims arising from your Customer Content, your use of the Service in breach of these Terms, or your violation of law or of a Model Provider's policies.
13. Changes to these Terms
We may update these Terms from time to time. We will post the updated Terms with a new "Last updated" date and, for material changes, give at least 30 days' notice by email or in the dashboard. Continued use after changes take effect means you accept them.
14. General
14.1 Governing law. These Terms are governed by the laws of the State of California, excluding its conflict-of-laws rules. The Federal Arbitration Act governs section 14.2.
14.2 Dispute resolution.
(a) Informal resolution first. Before starting arbitration or a lawsuit, the party raising a dispute will send the other a written notice describing the dispute and the relief sought. You send notice to the address in section 14.7; we send notice to the email address on your account. The parties will try in good faith to resolve the dispute within 45 days of the notice. Neither party may file until that period ends.
(b) Binding arbitration. Any dispute arising out of or relating to these Terms or the Service that is not resolved under (a) will be resolved by binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules. There will be one arbitrator, and the proceedings will be in English. The hearing will be held by videoconference unless the arbitrator decides an in-person hearing is needed, in which case it will be held in Santa Clara County, California, or another place the parties agree on. The arbitrator decides all questions about the scope and enforceability of this section, except as stated in (d). The arbitrator may award any relief a court could award to the individual party seeking it. Judgment on the award may be entered in any court with jurisdiction.
(c) Claims that stay in court. Either party may bring an individual claim in small claims court if it qualifies. Either party may seek injunctive or other equitable relief in court to protect its intellectual property, its Confidential Information, or the security of its systems. Nothing in this section prevents either party from reporting a matter to a government agency.
(d) No class actions. Each party may bring claims against the other only in its individual capacity, and not as a plaintiff or class member in any class, consolidated, or representative proceeding. The arbitrator may not consolidate the claims of more than one customer or preside over any form of class proceeding. A court, not the arbitrator, decides whether this paragraph is enforceable. If a court finds it unenforceable for a particular claim, that claim will be heard in the courts named in (e), and the rest of this section still applies to all other claims.
(e) Courts. Any claim that is not subject to arbitration will be brought exclusively in the state and federal courts located in Santa Clara County, California, and both parties consent to their jurisdiction and venue.
(f) Changes to this section. If we change this section after you accept these Terms, you may reject the change by sending written notice to the address in section 14.7 within 30 days of the change taking effect. If you do, the version of this section you last accepted continues to apply to disputes between us.
14.3 Assignment. You may not assign these Terms without our consent. We may assign them in connection with a merger, acquisition, or sale of assets.
14.4 Entire agreement. These Terms, the Privacy Policy, the Data Retention Policy, and any order form are the entire agreement between us about the Service.
14.5 Severability and waiver. If any provision is unenforceable, the rest remains in effect. Failure to enforce a provision is not a waiver.
14.6 Force majeure. Neither party is liable for delays caused by events beyond its reasonable control, including outages of Model Providers or hosting providers.
14.7 Notices. We may send notices to the email address on your account. Send notices to us at legal@induction.ai or by mail to Induction AI, Inc., #1084, 700 El Camino Real Suite 120, Menlo Park, CA 94025, United States.
